No residency requirement. No restrictions on location of the annual meeting

Capital
No statutory limitation. Articles state maximum number of shares to be issued.

Articles of Incorporation must include Company Name; Activities (can be an "all inclusive clause"); county in New York where the office or venue is to be located; and mailing address (registered office) within or without the State where the Secretary of State shall mail a copy of any process served against the corporation. The Articles of Incorporation does not include the names of any officers or directors.

New York Corporations must file Federal and State corporate Tax Returns each year; the minimum Annual York Tax is approximately US$375.00

Every two years, New York Corporations are expected to file a simple informational return, along with a fee of US$9.00; however, failure to file is noted on a good standing certificate.
